Terms & Condition

Understand the rules and policies governing usage and access.

These Terms govern the use of e6data, Inc., and, any other related Agreement or legal relationship with the Owner.

In a legally binding way. Capitalized words are defined in the relevant dedicated section of this document.

The User must read this document carefully.

TERMS OF USE

Unless otherwise specified, the terms of use detailed in this section apply generally when using e6data, Inc.,

Single or additional conditions of use or access may apply in specific scenarios and in such cases are additionally indicated within this document.

By using e6data, Inc., Users confirm to meet the following requirements:

Rights in customer Data

As between the parties, Customer or its licensors retain all right, title, and interest (including any and all intellectual property rights) in and to the Customer Data and any modifications made thereto in the course of the operation of the Service. Subject to the terms of this Agreement, Customer hereby grants to e6data, Inc., and its Authorized Affiliates a non-exclusive, worldwide, royalty-free right to process the Customer Data solely to the extent necessary to provide the Services to Customer, to prevent or address service or technical problems therein, or as may be required by law

Use Obligations

  1. In General.

Customer's use of the e6data Services and all Customer Data will comply with applicable laws, government regulations, and any other legal requirements, including but not limited to, any data localization or data sovereignty laws, regulations, and any other third-party legal requirements applicable to Customer. Customer is solely responsible for the accuracy, content, and legality of all Customer Data. Customer warrants that Customer has and will have sufficient rights in the Customer Data to grant the rights to e6data, Inc., under this Agreement and that the processing of Customer Data by e6data, Inc., by this Agreement, will not violate any laws or the rights of any third party.

  1. HIPAA Data.

Customer agrees not to process any HIPAA Data in the Service unless Customer has entered into a Business Associate Agreement (BAA) with e6data, Inc. Unless a BAA is in place, e6data, Inc., will have no liability under this Agreement for HIPAA Data, notwithstanding anything to the contrary in this Agreement or HIPAA or any similar federal or state laws, rules, or regulations. If Customer is permitted to process HIPAA Data in the Service, then Customer may process HIPAA Data in the Service only by providing it as Customer Data. Upon mutual execution of the BAA, the BAA is incorporated by reference into this Agreement and is subject to its terms.

If you add HIPAA when enabling the compliance security profile, you must have a BAA agreement with e6data before you process PHI data.

Data Privacy

The parties shall comply with the Data Processing Addendum (DPA).

Security

The parties shall comply with the Security Addendum.

Content on e6data, Inc.,

Unless where otherwise specified or clearly recognizable, all content available on e6data, Inc., is owned or provided by the Owner or its licensors.

The Owner undertakes its utmost effort to ensure that the content provided on e6data, Inc., infringes no applicable legal provisions or third-party rights. However, it may not always be possible to achieve such a result. In such cases, without prejudice to any legal prerogatives of Users to enforce their rights, Users are kindly asked to preferably report related complaints using the contact details provided in this document.

Access to external resources

Through e6data, Inc., Users may have access to external resources provided by third parties. Users acknowledge and accept that the Owner has no control over such resources and is therefore not responsible for their content and availability.

Conditions applicable to any resources provided by third parties, including those applicable to any possible grant of rights in content, result from each such third parties’ terms and conditions or, in the absence of those, applicable statutory law.

e6data, Inc., is not responsible for the content, accuracy, or availability of third-party resources accessed via the Service. Users engage with such third parties at their own risk, and any terms governing those relationships shall be between the User and the third party.

Acceptable use

e6data, Inc., and the Service may only be used within the scope of what they are provided for, under these Terms and applicable law.

Users are solely responsible for making sure that their use of e6data, Inc., and/or the Service violates no applicable law, regulations or third-party rights.

Prohibited Uses

You agree not to:

  1. Use the Service for any unlawful purpose.

  2. Attempt to gain unauthorised access to any part of the system.

  3. Exploit the platform for commercial gain without explicit consent.

  4. Violate the intellectual property or privacy rights of others.

Common provisions

No Waiver

The Owner’s failure to assert any right or provision under these Terms shall not constitute a waiver of any such right or provision. No waiver shall be considered a further or continuing waiver of such term or any other term.

Service interruption

To ensure the best possible service level, the Owner reserves the right to interrupt the Service for maintenance, system updates or any other changes, informing the Users appropriately.

Within the limits of law, the Owner may also decide to suspend or terminate the Service altogether. If the Service is terminated, the Owner will cooperate with Users to enable them to withdraw Personal Data or information in accordance with applicable law.

Additionally, the Service might not be available due to reasons outside the Owner’s reasonable control, such as “force majeure” (eg. labour actions, infrastructural breakdowns or blackouts etc).

In the event of service suspension or termination exceeding 30 days, Users may be eligible for a refund or prorated service credit. e6data, Inc., will notify Users promptly and assist in retrieving any stored data.

Service reselling

Users may not reproduce, duplicate, copy, sell, resell or exploit any portion of e6data, Inc., and of its Service without the Owner’s express prior written permission, granted either directly or through a legitimate reselling programme.

Limitation of Liability

To the maximum extent permitted by applicable law, the Owner shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service;

(ii) any conduct or content of any third party on the Service

(iii) unauthorized access, use, or alteration of your transmissions or content.

Intellectual property rights

Without prejudice to any more specific provision of these Terms, any intellectual property rights, such as copyrights, trademark rights, patent rights and design rights related to e6data, Inc, are the exclusive property of the Owner or its licensors and are subject to the protection granted by applicable laws or international treaties relating to intellectual property.

All trademarks — nominal or figurative — and all other marks, trade names, service marks, word marks, illustrations, images, or logos appearing in connection with e6data, Inc, are, and remain, the exclusive property of the Owner or its licensors and are subject to the protection granted by applicable laws or international treaties related to intellectual property.

Changes to these Terms

The Owner reserves the right to amend or otherwise modify these Terms at any time. In such cases, the Owner will appropriately inform the User of these changes.

Such changes will only affect the relationship with the User for the future.

The continued use of the Service will signify the User’s acceptance of the revised Terms. If Users do not wish to be bound by the changes, they must stop using the Service. Failure to accept the revised Terms, may entitle either party to terminate the Agreement.

The applicable previous version will govern the relationship prior to the User's acceptance. The User can obtain any previous version from the Owner.

Assignment of contract

The Owner reserves the right to transfer, assign, dispose of by novation, or subcontract any or all rights or obligations under these Terms, taking the User’s legitimate interests into account. Provisions regarding changes of these Terms will apply accordingly.

Users may not assign or transfer their rights or obligations under these Terms in any way, without the written permission of the Owner.

Dispute Resolution

Any disputes arising out of or relating to these Terms shall be resolved through binding arbitration in San Francisco, CA 94107 (USA). The governing law shall be the law of the state of San Francisco without regard to its conflict of law principles.

Severability

Should any provision of these Terms be deemed or become invalid or unenforceable under applicable law, the invalidity or unenforceability of such provision shall not affect the validity of the remaining provisions, which shall remain in full force and effect.

Data Protection and Privacy

Changes to Terms e6data, Inc., will notify Users via email or on our website of any significant changes to these Terms at least 30 days in advance. Users who do not agree with the revised Terms may terminate their accounts prior to the new Terms taking effect. Continued use of the Service after the effective date of the changes will signify your acceptance of the updated Terms.

Definitions and Legal References

e6data, Inc., (or this Application) The platform, website, or any other digital medium that enables the provision of the Service.

Agreement Any legally binding or contractual relationship between the Owner and the User, governed by these Terms, including any amendments, updates, or supplementary agreements made from time to time.

Owner (or We) Refers to e6data, Inc., a legal entity that provides and maintains the Service to Users, including any authorized personnel, representatives, or licensors acting on behalf of e6data, Inc.

Service The service provided by e6data, Inc. as described in these Terms and any other related documentation, including services available on e6data’s platform, external resources, or through third-party integrations.

Terms All provisions applicable to the use of e6data, Inc., including these Terms and Conditions, Privacy Policy, Acceptable Use Policy, and any other related agreements or documents, which may be updated from time to time.

User (or You) Indicates any individual or legal entity using e6data, Inc.’s Service, whether by creating an account, accessing the platform, or otherwise engaging with the Service. This includes students, professionals, third-party contractors, or any entity interacting with e6data, Inc.,

Personal Data Any information related to a natural person that can be used to identify them, which e6data, Inc., collects, processes, or stores in compliance with applicable data protection laws such as GDPR and CCPA.
